# User Terms

> The rules for using Duly.

Effective 19 October 2026.

## First things first

These terms are an agreement between you and B TECH TECNOLOGIA DA INFORMACAO LTDA, a company registered in Brazil under CNPJ 52.731.063/0001-11 ("Duly", "we", "us"). They apply when you use Duly: the web app, the iPhone and Mac apps, and joinduly.com. You accept them when you press the button that gets you into a Team: Create Team when you start one, or Join (Sign in to join, on an invitation link) when you are invited to one. The sentence under that button says so and links to these terms and the Privacy Policy. If you do not accept them, do not use Duly.

They work together with our [Privacy Policy](https://joinduly.com/privacy), which says what we do with data.

## Duly is in an invite-only preview

Duly is early software, offered in waves by invitation. It is provided **"as is" and "as available"**. It can be wrong, slow, or down, features can change or go away, and we may reset or remove preview data after telling owners. Do not rely on it for anything where a failure would be serious. We make no promises about uptime, accuracy, or fitness for a purpose, to the extent the law lets us.

## Your Team and your account

A Team is a workspace. Someone invited to a Team joins it. The person who creates a Team is its **owner**. By pressing Create Team, they agree to these terms for themselves and on behalf of the Team, and confirm they have the authority to do that. Each person who joins accepts them for themselves when they press Join. Owners and admins decide who is in the Team, which AI teammates it has, what they may spend and which plugins are allowed. The owner decides whether "Help improve results" is on.

If you use Duly through a Team, the Team's owner and admins can manage your access and can see what the Team's settings let them see. Your use of the Team's content follows the owner's choices, as well as these terms.

You must be at least 18. Keep your sign-in secure, give us accurate information, and tell us at once if you think someone else got into your account. You are responsible for what happens under it.

## Your content

You and your Team keep ownership of what you put into Duly: messages, files, requests, and the results AI teammates produce for you ("Team content"). You give us the permission we need to run Duly with it: store it, process it, send it to the AI model providers and other services that do the work, show it to the people you chose, and let our staff read it for support, debugging, and improving the product. Our Privacy Policy lists these providers and says how staff access works. If "Help improve results" is on, you also let us keep the request text and results as the Privacy Policy describes.

You promise that you have the right to put the content into Duly, and that doing so does not break the law or anyone's rights.

## AI teammates

AI teammates are built on AI models. They do work when you or your Team ask. This matters:

- **You are responsible for what you ask them to do.** A request from you, or from a person in your Team, is your request. Check what an AI teammate does before you rely on it, send it, or publish it.
- **The output can be wrong, incomplete, or out of date**, and the same request may give different answers. Duly does not give legal, medical, financial, or other professional advice. A person, not Duly, makes the decision.
- **Plugins and tools reach outside Duly.** When a person connects a plugin or an AI teammate searches the web, data goes to that service, and its terms apply. Connect only what you trust.
- Spending limits and approvals help you stay in control. They do not make you any less responsible for what your AI teammates do within them.

## Acceptable use

Do not use Duly, or let an AI teammate use it, to:

- break the law, or infringe, misuse, or expose other people's rights, privacy, or data;
- track or watch people without their consent, unmask people who are anonymous, or identify anyone by their face, voice, or other biometrics without their consent;
- create or spread malware, spam, scams, harassment, hate, or content meant to deceive people about who is speaking;
- threaten or encourage violence or self-harm, or help make weapons or explosives;
- create or share sexually explicit content, any sexual content involving minors, or intimate images of a real person without their consent;
- mislead people about elections or voting, or run fake reviews, fake accounts, or campaigns that hide who is behind them;
- attack, probe, overload, or get around the limits and security of Duly or anyone else's systems, including the safety limits of the AI models;
- scrape Duly, reverse engineer it, or resell access to it without our written agreement;
- make decisions that could seriously harm a person, such as in employment, credit, health, or law enforcement, without a person reviewing each one;
- break the usage policies of the companies that make the AI models doing the work, named in our [Privacy Policy](https://joinduly.com/privacy).

Do not use what AI teammates produce to train AI models, in Duly or anywhere else.

We may remove content and stop an AI teammate's work if we think it breaks these rules. A model provider may also refuse a request it finds against its own policy, and that work stops.

## Credit and payment

Duly is paid for with prepaid credit. A Team buys credit in US dollars through Stripe, and the work AI teammates do uses it up at the rates in effect when the work runs, shown in the app. Each new Team gets a $5 starter grant from us. It has no cash value and is never refunded. Taxes are added where they apply.

- Credit does not expire while the Team exists.
- Credit is refunded only when the Team closes. It goes back to the payments that bought it, and only purchases from the last 180 days are refundable. Older credit is not refunded, and the starter grant never is.
- Work already done is not refunded, even if the output was not what you wanted.
- Prices can change. Work is charged at the rates in effect when it runs, so a change affects what credit you already hold can buy.

People the Team lets manage billing can set spending limits and automatic top-ups. You authorise charges you set up.

## Ending use, suspension and closing a Team

You can stop using Duly at any time. An owner can close a Team. Closing a Team ends access for everyone in it and refunds credit as above. It does not delete Team content automatically. To have content deleted, email [support@joinduly.com](mailto:support@joinduly.com), as the Privacy Policy says.

We can suspend or end your access, or a Team's, if we reasonably believe these terms are being broken, if it puts others or Duly at risk, if payment fails, if the law requires, or if we end the preview. Where we can, we tell you first and give you a chance to fix it. If we close a Team for any reason other than a breach of these terms, we tell its owner at least 30 days before, and the owner can ask us for a copy of the Team's content in that time.

When use ends, the parts of these terms that by nature should continue still do: ownership, the disclaimers, liability limits, and the dispute terms.

## Our responsibility to you

To the extent the law lets us, Duly is not liable for indirect or consequential losses, lost profits, lost data, or business interruption, and our total liability for anything arising from Duly is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. Some places do not allow these limits, so they may apply to you only as far as the law permits. Nothing in these terms limits liability that cannot be limited by law.

You will cover us for third-party claims that come from your content or your breach of these terms, to the extent the law permits.

## Disputes and governing law

These terms are governed by the law of the State of Delaware, USA, without regard to its conflict-of-law rules. We would like to hear about a problem first: email [support@joinduly.com](mailto:support@joinduly.com) and give us 30 days to try to fix it. If that fails, disputes go to the state or federal courts in Delaware, and both of us agree to their jurisdiction.

## Changes

We can change these terms as Duly grows. For a material change we email Team owners at least 14 days before it applies, and the date at the top changes. If you keep using Duly after it applies, you accept the change. If you do not accept it, stop using Duly.

## Everything else

These terms and the Privacy Policy are the whole agreement between us about Duly. If a part cannot be enforced, the rest stands. Not enforcing a right now does not give it up. You may not transfer your rights under these terms without our consent; we may transfer ours in a merger or sale. We may send notices to the email on your account.
